Kasimu Terms and Conditions of Use

This document (hereinafter, the “Agreement”) constitutes a legally binding contract entered into by you and Virtual D-J, S.L., a company registered in Spain under number B83438135 (hereinafter “Kasimu”) governing your use of , from Kasimu Global, Kasimu Full and Kasimu Freedom services (music channels to be listened to by “streaming”), available on the site www.kasimu.com

1 – By creating a Kasimu account, you confirm that you are at least 18 years old to enter into this Agreement, which resides in one of the countries in which Kasimu provides its services, that any information for registration purposes you submit to Kasimu is truthful , accurate and complete, that will update such information in order to keep it in effect and that you accept the terms and conditions of this Agreement.

2 – Kasimu may make changes to this Agreement in its sole discretion. Any material changes made will be communicated to you and your continued acceptance and/or use of Kasimu’s services following such notice of changes to this Agreement will constitute your acceptance of such changes.

3 – You are granted a limited, non-exclusive and revocable license for personal or commercial use of Kasimu’s services to receive by stream. You shall not have the right to transmit or sublicense the rights you hold under this Agreement. You are licensed on the third-party components included in the service of this Agreement or the license terms of the third party component in question, as applicable.

4 – In the event that you agree to pay the fee for Kasimu’s services, this fee or price will be charged by the company designated by Kasimu in accordance with the payment method you have chosen for the purpose of payment of the purchase.
In the event that you are paying with a credit or debit card, by designating a card for us to make the appropriate charges you confirm that you are authorized to make such purchase and that you are the holder of such card (namely, that the card has been issued to his name).
In the event that you are paying by direct debit, you must provide the bank details in your name or on behalf of the company or entity you represent. In this case, the quotas will be six-monthly or annual. All fees will be charged for an advance period. Renewal of Kasimu services may be unsubscribed at any time. You will continue to enjoy the contracted service until the period already paid for has expired, but no further charges will be charged. Under no circumstances will Kasimu refund money for fees paid.
When Kasimu services are used in publicly accessible places, such as bars, restaurants, shops and other related sites; the fees charged by Kasimu do not include public communication rights. The Kasimu Freedom service includes the public communication rights of the authors and publishers of the songs included in the repertoire of the service. That is, all the songs included in the Kasimu Freedom service do not belong to the repertoire of the SGAE or another copyright collection association. The Kasimu Freedom service does not include the public communication rights of other entities such as AGEDI-AIE and others. Such public communication rights, if applicable, shall be paid by you to intellectual property management associations.

In the Kasimu Freedom service the public communication rights corresponding to the authors and publishers of the songs included in the music programming of said service are included in the price of the service. By hiring Kasimu Freedom, you will be able to download from the customer area the certificate proving that the music used in the Kasimu Freedom service does not belong to the SGAE repertoire or another copyright collection association. That certificate, together with the invoice for payment of the last installment of the Kasimu Freedom service, shall be available to inspectors. The certificate exempts from paying public communication rights to the SGAE provided that the premises contracting the Kasimu Freedom service use only the music of the Kasimu Freedom service.

5 – Your Kasimu Payment Service subscription will automatically renew at the end of each subscription term unless you proceed to unsubscribe before the end of that subscription term. Such renewal will always be for a subscription period. At the time of renewal, the corresponding amount will be automatically charged according to the payment method you have chosen for the purpose of payment of the fees.

6 – In order to avoid any doubt, you agree that you will not (among other things): A) copy, play, rip” (extract or copy music tracks), record, make publicly available, or use Kasimu’s services or content (including but not limited to tracks, images, and text) in any way not expressly permitted in under this Agreement; B) sell or attempt to sell any invitation to access Kasimu services, or resell any code used to access Kasimu’s services; C) provide your password to another person or use another person’s username and password; D) circumvent any technology used by Kasimu or its licensors to protect content accessible through Kasimu’s services; E) rent or lease any part of Kasimu’s services; F) use Kasimu’s services in a manner that violates the terms of this Agreement, G) circumvent the possible territorial restrictions applied by Kasimu. In addition to the foregoing, you agree to take reasonable steps to prevent unauthorized use of Kasimu’s services and their contents. You also acknowledge and agree that Kasimu may remove or recover your username at any time if Kasimu, in Kasimu’s sole discretion, considers such action to be inappropriate.

8 – This contract shall enter into force, in relation to you, when you create an account in Kasimu. You may unsubscribe from Kasimu services, or any other service, at any time by visiting the customer area or by calling +34 606 025 800 or writing to info@kasimu.com. The cancellation of the service must be made within the period in which it can be validly cancelled, that is, before your subscription is automatically renewed. This means that Kasimu will not return any remaining portion of the subscription fees you have already paid. Kasimu reserves the right to terminate this Agreement or to suspend your Kasimu account at any time in the event of unauthorized, or allegedly unauthorized, use of Kasimu’s services, or to contravene the provisions hereof Contract or for other reasons. In the event that Kasimu terminates this Agreement, or suspends your Kasimu account, for any of the reasons set forth in this clause, no obligation or liability will be incurred on Kasimu, and Kasimu will not refund any amount you have already paid Previously.

9 – Use of Kasimu’s services (including, but not limited to, their contents) will be at your sole risk. Kasimu’s services are provided “as is” and “as available”. To the fullest extent possible under applicable law, Kasimu makes no warranty, whether tacit or express, in relation to the quality, content and availability or fitness for a particular purpose of Kasimu’s services.

10 – In no event shall Kasimu, its associates, senior officials, directors, employees, licensors or any third party be liable for any direct, indirect, incidental, special or consequential damages (including, without limitation, loss of data , interruptions of service, computer failures or pecuniary losses) arising out of the use or inability to use Kasimu’s services (including, but not limited to, their contents), and including any damages arising therefrom. The only right that assists you in connection with any problems or dissatisfaction with Kasimu’s services will be to stop using Kasimu’s services.

11 – You agree to indemnify and hold harmless Kasimu and his senior officials, directors, employees and licensors from and against any claim or claim (including, without limitation, reasonable legal fees) filed by a third party arising out of, or related to, your violation of the terms and conditions of this Agreement or violation of any laws, regulations or violation of third party rights.

12 – Kasimu will make every reasonable effort to keep Kasimu’s services operational. However, it is possible that the existence of certain technical or maintenance difficulties may, in the course, lead to temporary interruptions. Kasimu reserves the right to modify or suspend, temporarily or permanently, at any time, functions and services of Kasimu’s services, upon notification to that effect or without notice.

13 – You agree that Kasimu has the right to collect and process personal information about you.

14 – Kasimu may assign this Agreement or part thereof without restriction. You may not assign this Agreement or any part thereof to any third party.

15 – In order to resolve any matter arising out of this contract, you expressly submit to the Courts of Madrid (Capital), waiving your own jurisdiction.
